Interview with Shivani Chopra, Independent Legal Counsel and Advisor

Interview with Shivani Chopra, Dynamic Corporate Commercial Lawyer

Can you tell us about your journey from being a Company Secretary trainee to your current role as an Independent Legal Counsel and Advisor?

Thank you for that thoughtful summarisation of my career journey. It’s been an incredible and inspiring path, one that I’m genuinely grateful for. As I reflect on the path that has led me to this point, I’m filled with a profound sense of gratitude and pride.

Starting as a Company Secretary trainee was a formative experience that laid the groundwork for everything that was to come. That initial exposure to the nuts and bolts of corporate compliance and governance instilled in me a deep appreciation for the critical role that legal and secretarial functions play in supporting a business. That initial exposure ignited my passion for legal and secretarial functions, and I was determined to hone my expertise across various industries.

From there, I was able to steadily build out my skillset and expertise across different industries. Each new role, whether it was in the financial services, wine manufacturing, or fintech sectors, presented unique challenges and opportunities for growth. I relished adapting my knowledge and applying it in diverse contexts.

What truly drove me throughout this journey was a relentless passion for learning and a desire to make a tangible impact. Earning accolades like the “Best Employee” award was incredibly humbling, as it validated that my commitment to excellence was translating into real value for the organizations I served.

As I progressed through roles at NBFC, wine manufacturing, fintech, and now the electric vehicle sector, I’ve had the privilege of tackling complex challenges and driving transformative initiatives. Leading the legal and compliance efforts during high-stakes mergers, acquisitions, and private equity transactions at Sula Vineyards was a true highlight. Closing over 6 funding rounds and navigating intricate agreements like business transfer deals and joint ventures required a deep understanding of commercial contracts, regulatory frameworks, and strategic business acumen.

My time at Pine Labs was equally enriching, as I was entrusted with the role of AVP Legal and General Counsel for a key business vertical of “Prepaid Instruments” (PPI). Navigating the dynamic fintech landscape and crafting robust IT and financial services agreements, from MSAs to SaaS contracts, honed my ability to translate legal complexities into practical business solutions. The recognition I received as the “Best Employee” for driving global expansion and setting up international legal entities was a testament to my adaptability and impact.

In my last corporate role as Head of Legal and Company Secretary at Greaves Electric Mobility, I feel like I’ve reached an exciting new pinnacle. The electric vehicle industry is at the forefront of innovation and sustainability – two causes that I’m deeply invested in. I’m thrilled to be able to leverage my comprehensive legal and compliance expertise to help shape the strategic direction of this dynamic company. This represents an exhilarating new frontier where my expertise in areas like regulatory compliance, intellectual property rights, and commercial contracts contributed to the strategic direction of a future-focused organization. Looking back, I’m amazed at how far I’ve come. But I also know that this is just the beginning. There are still so many opportunities to learn, grow, and make a difference. I’m energized by the prospect of the challenges that are ahead, and I’m confident that my adaptability, drive, and passion for excellence will continue to serve me well.

What inspired you to move from working in well-established companies such as Greaves Electric Mobility and Sula to your current position as a full-time consultant? We noticed that you had made similar transitions in the past. Are the reasons for this move the same as before, or is there something different this time?

That’s an insightful observation about the transitions in my career. You’re right that I’ve made similar moves in the past, from working within established organizations to taking on more independent, consulting-based roles. The reasons behind these decisions have evolved, but there is a common thread that has guided my professional path.

When I was at Greaves Electric Mobility and Sula Vineyards, I gained invaluable experience in handling the legal and compliance challenges of large, rapidly growing companies. Leading the legal function for a material subsidiary of a listed entity, as I did at Greaves, allowed me to develop a deep understanding of the strategic and operational demands faced by public companies. Similarly, my time at Sula Vineyards, where I was instrumental in navigating complex mergers, acquisitions, and private equity deals, honed my ability to navigate high-stakes corporate transactions.

However, as I progressed in my career, I found myself increasingly drawn to the dynamic and diverse nature of the consulting world. There’s a certain energy and intellectual stimulation that comes from working with a wide range of clients, each with their own unique legal and business challenges. The opportunity to apply my expertise in a more agile, advisory-driven capacity is what inspired me to explore this transition.

This current move to a full-time consulting role is, in many ways, a natural progression from my previous experiences. In the past, I’ve had the privilege of working as an Associate at a leading law firm, where I was able to leverage my cross-industry knowledge to provide strategic counsel to a diverse client base. That stint gave me a taste of the fulfillment that comes from being a trusted advisor, and I’m now eager to build on that foundation.

But there’s also something different this time around. In my current role, I have the opportunity to truly focus on the areas of law and advisory that I’m most passionate about. I can tailor my expertise to the specific needs of each client, whether they’re in the electric vehicle, fintech, or any other sector. This level of flexibility and autonomy is deeply rewarding and aligns with my personal and professional goals.

Ultimately, what continues to inspire me is the chance to make a tangible, positive impact on the businesses and industries I serve. Whether it’s navigating complex legal and regulatory frameworks, driving strategic initiatives, or simply providing sound counsel, I’m driven by the desire to help organizations overcome their challenges and unlock new avenues for growth. This underlying motivation has been the constant thread throughout my career journey, even as the specific roles and environments have evolved.

I’m excited about the prospect of this new chapter and the opportunity to leverage my diverse experience in a more independent, consulting-focused capacity. I believe it will allow me to make an even greater contribution to the success of my clients, while also continuing to evolve and expand my skills and expertise. Thank you for the thought provoking question.

If you had a genie that could grant you three wishes, but they all had to be related to AI taking over some boring and repetitive tasks in your work life, what would those three wishes be?

That’s an intriguing question! As a legal professional, I’m always on the lookout for ways to streamline and optimize my work processes, and the potential of AI technology is certainly an exciting avenue to explore. If I had a genie that could grant me three AIrelated wishes, here’s what I would ask for:

Firstly, I would wish for an AI-powered contract review and drafting assistant. The amount of time my team and I spend poring over commercial agreements, ensuring every clause and nuance is meticulously crafted, is immense. An AI system that could rapidly analyse contracts, identify potential risks or loopholes and, even suggest optimized language would be an incredible time-saver. This would free up our valuable human resources to focus on higher-level strategic and advisory work.

Secondly, I would request an AI-driven compliance monitoring and reporting tool. As a Company Secretary and legal counsel, staying on top of the ever-evolving regulatory landscape is a constant challenge. An AI system that could continuously track changes in laws and regulations, flag upcoming compliance deadlines, and generate detailed reports would be an invaluable asset. This would ensure that we maintain watertight adherence to all relevant statutes and guidelines without the risk of human error or oversight.

Lastly, I would love to have an AI-powered research and analysis assistant. Conducting comprehensive due diligence, whether it’s for mergers and acquisitions, private equity investments, or global expansion initiatives, requires sifting through vast amounts of data and information. An AI system that could rapidly scan through industry reports, competitor analyses, and market trends, and deliver concise, actionable insights, would exponentially enhance our decision-making capabilities. This would allow us to make more informed, data-driven recommendations to the senior leadership team.

The common thread underlying these three wishes is the desire to leverage AI technology to automate and streamline the more repetitive, time-consuming aspects of my work. By freeing up our team’s bandwidth, we can redirect our focus to the strategic, high-impact areas that truly drive value for the organization. Of course, I recognize that the implementation of such AI solutions would need to be carefully considered, with robust controls and safeguards in place to ensure the integrity and confidentiality of sensitive legal information. Nonetheless, I’m genuinely excited about the potential of AI to transform the legal landscape. As a forward-thinking professional, I’m committed to staying at the forefront of technological advancements and exploring how they can be responsibly integrated into my daily practice. These three wishes would be a significant step in that direction, empowering my team and me to work smarter, not harder.

If you had a crystal ball that could provide glimpses into the future of regulatory frameworks for emerging technologies, what trends or challenges do you think would stand out?

That’s a fascinating question and one that I’ve given a great deal of thought to, given my role in navigating the legal and regulatory landscape for emerging technologies. If I had a crystal ball that could provide glimpses into the future, a few key trends and challenges would likely stand out:

Firstly, I anticipate that we’ll see a continued proliferation of regulations aimed at governing the development and deployment of artificial intelligence (AI) and machine learning (ML) systems. As these transformative technologies become increasingly integrated into various industries, from healthcare to finance to transportation, policymakers and regulatory bodies will be under immense pressure to establish robust frameworks that balance innovation and public trust.

One of the primary challenges I foresee is the inherent difficulty in crafting regulations that can effectively keep pace with the rapid advancements in AI/ML. These technologies are evolving at a breakneck pace, and lawmakers will be hard-pressed to stay ahead of the curve, ensuring that their policies remain relevant and effective. This will require a delicate balancing act, where regulations are agile and adaptable enough to adapt to new developments, while still providing the necessary guardrails to protect consumers and mitigate risks.

Another key trend I expect to witness is the growing emphasis on data governance and privacy regulations, particularly as it pertains to the collection, storage, and use of personal information in the digital age. With the rise of the Internet of Things (IoT), blockchain, and other data-driven technologies, the need for comprehensive data privacy frameworks will become even more critical. Navigating the complexities of cross-border data flows, data sovereignty, and individual rights will be a significant challenge for policymakers.

Additionally, I anticipate that the regulatory landscape surrounding emerging technologies like quantum computing, biotechnology, and nanotechnology will become increasingly complex. As these fields continue to advance, with the potential for both immense benefits and disruptive impacts, governments and international bodies will need to carefully consider the ethical, security, and societal implications. Striking the right balance between fostering innovation and safeguarding the public interest will be a formidable task.

Overarching all of these trends will be the need for greater collaboration and harmonization between nations and jurisdictions. Many of the regulatory challenges posed by emerging technologies transcend geographical boundaries, requiring a coordinated, global approach. Building consensus and aligning policy frameworks across diverse political and cultural landscapes will be crucial to ensuring that the benefits of technological progress are equitably distributed and the risks are effectively mitigated. As a legal professional, I’m both excited and apprehensive about the future of regulation in the face of rapid technological change. However, I’m confident that with a strategic, proactive, and collaborative mindset, we can navigate these complex waters and ensure that the development and deployment of emerging technologies serve the greater good of society. Thank you for this thought-provoking question.

What role do you think generative AI can play in facilitating tasks performed by corporate legal departments? Is there any potential for improvement in some specific areas?

That’s an excellent question, and one that I’ve been closely following as the potential applications of generative AI continue to evolve. In my experience as a legal professional, I believe there are tremendous opportunities for generative AI to enhance the efficiency and effectiveness of tasks performed by corporate legal departments. One of the most promising applications of generative AI in the legal domain is contract drafting and review. Currently, a significant portion of our team’s time is dedicated to meticulously crafting and scrutinizing commercial agreements, ensuring that every clause is carefully worded and aligned with our client’s strategic objectives. Generative AI models, trained on vast repositories of legal documents, could drastically streamline this process by automatically generating initial contract templates, identifying potential risks or inconsistencies, and even suggesting optimized language.

This AI-powered contract management capability would not only save our team countless hours but also improve the overall quality and consistency of the agreements we produce. By relieving us of the more repetitive, time-consuming aspects of contract work, we could redirect our focus to higher-level strategic and advisory tasks that require more nuanced human judgment and expertise.

Another area where generative AI could have a transformative impact is in the realm of legal research and analysis. Conducting comprehensive due diligence, monitoring regulatory changes, and staying abreast of industry trends often involves sifting through vast troves of information. Generative AI models, equipped with natural language processing capabilities, could rapidly scan through legal databases, industry reports, and other relevant sources, and synthesize the key insights in a concise, easy-to-digest format.

This would not only accelerate the research process but also enhance the quality and depth of the analysis we provide to our clients. By automating the information-gathering and synthesis stages, our team would have more time to critically evaluate the data, identify strategic implications, and deliver well-informed, data-driven recommendations.

Additionally, I foresee the potential for generative AI to assist with more routine legal tasks, such as document generation, knowledge management, and even legal drafting for less complex matters. By automating these repetitive, high-volume activities, we can free up our legal professionals to focus on the more intellectually demanding and value adding aspects of their work.

Of course, the implementation of generative AI in a corporate legal environment would require careful consideration of ethical, security, and regulatory concerns. Ensuring the accuracy, integrity, and confidentiality of the output generated by these AI models would be of paramount importance. Robust governance frameworks, rigorous testing, and ongoing human oversight would be essential to maintaining the high standards of quality and client service that our organization is known for. Overall, I’m deeply excited about the prospects of generative AI in the legal domain. While there will undoubtedly be challenges to navigate, I believe the strategic and operational benefits of integrating these transformative technologies into our workflows are vast and compelling. By embracing the potential of generative AI, we can streamline our operations, enhance the quality of our work, and ultimately deliver more value to our clients.

How do you stay updated with the latest legal developments and regulations, particularly in dynamic sectors like FinTech and electric mobility?

Staying up-to-date with the latest legal developments and regulatory changes, especially in fast-paced industries like FinTech and electric mobility, is a constant priority for me. As a legal professional, it’s crucial that I maintain a deep understanding of the evolving frameworks that govern the sectors I operate in, and I employ a multi-faceted approach to ensure I’m always ahead of the curve.

Firstly, I make it a point to actively participate in industry-specific forums, conferences, and networking events. These platforms provide invaluable opportunities to engage with subject matter experts, regulators, and fellow legal practitioners. By immersing myself in these discussions, I’m able to gain firsthand insights into the emerging trends, pain points, and regulatory shifts that are shaping the landscape.

In addition to these in-person interactions, I also rely heavily on a curated network of online resources and publications. I’ve carefully assembled a portfolio of legal journals, industry blogs, and government agency updates that I monitor regularly. This allows me to stay apprised of the latest news, legislative changes, and regulatory guidance that may impact my work.

Furthermore, I’ve cultivated strong relationships with my peers and legal advisors within the FinTech and electric mobility spheres. Through these professional connections, I’m able to tap into a wealth of collective knowledge and stay informed about the nuances of compliance and regulatory matters that may not be readily available in the public domain.

Internally, I’ve also implemented robust knowledge-sharing protocols within my small group of friends from the legal and compliance industry. We regularly hold training sessions, case study discussions, and brainstorming sessions to ensure that we’re all aligned on the evolving legal landscape and are equipped to proactively address the needs of our clients.

In addition to these ongoing efforts to stay informed, I also make a concerted effort to anticipate future regulatory trends and challenges. By closely monitoring industry publications, engaging with policymakers, and conducting scenario-based analyses, I’m able to identify potential areas of concern and develop strategic contingency plans.

This proactive approach has been particularly valuable in my work within the FinTech and electric mobility sectors, where the regulatory environment is in a constant state of flux. By staying ahead of the curve, I’m able to provide my clients with timely, well-informed counsel that helps them navigate the complex legal and compliance landscape with confidence.

Ultimately, my commitment to maintaining a deep, current understanding of the legal and regulatory frameworks governing these dynamic industries is a core part of my professional ethos. I firmly believe that this dedication to continuous learning and adaptability is what enables me to deliver exceptional value to my clients and position them for long-term success.

Can you share a memorable experience or project from your career that significantly impacted your professional growth?

There are several memorable experiences and projects from my career that have significantly shaped my professional growth, but one that stands out in particular was my time working at Sula Vineyards.

During my tenure at Sula, the company was going through a period of rapid growth and expansion, both organically and through strategic acquisitions. As the in-house legal and compliance leader, I was tasked with navigating a complex web of corporate transactions, including multiple rounds of private equity investments, mergers and acquisitions, and the formation of joint ventures.

Looking back, I can see how this experience was a pivotal point in my career development. Handling the legal and regulatory aspects of these high-stakes corporate initiatives required me to draw upon a diverse skill set – from meticulous contract drafting and negotiation to comprehensive due diligence and strategic decision-making.

What truly challenged and pushed me to grow, however, was the sheer scale and complexity of the transactions I was involved in. Closing over 6 rounds of private equity funding and successfully integrating acquired entities into the Sula group was no easy feat. It required me to demonstrate a deep understanding of commercial agreements, a keen eye for potential risks and pitfalls, and the ability to effectively coordinate with cross-functional teams, including finance, operations, and senior leadership. Moreover, the fast-paced, dynamic nature of the wine industry added an extra layer of complexity to the work. I had to stay agile and adaptable, quickly identifying and addressing emerging legal and compliance issues to ensure the smooth execution of the company’s strategic initiatives.

Through this experience, I developed a heightened sense of business acumen and the ability to think beyond just the legal implications of a decision. I learned to anticipate the broader operational, financial, and reputational consequences of my actions and to tailor my approach accordingly.

Equally important, this project allowed me to hone my leadership skills. As the key point of contact for the company’s board of directors, foreign investors, and other key stakeholders, I had to effectively communicate complex legal concepts, manage expectations, and build trust through my expertise and professionalism.

The recognition I received as a “Best Employee” for my diligent performance and ability to achieve targets within record time was a testament to the impact of this project on my professional growth. It gave me the confidence to take on even more complex challenges, knowing that I had the skills and adaptability to navigate them successfully.

To this day, I draw upon the lessons and insights I gained from my time at Sula Vineyards. The experience of handling high-stakes corporate transactions, managing diverse stakeholders, and delivering results in a fast-paced environment has become a cornerstone of my approach as a legal professional. It has instilled in me a deep appreciation for the importance of strategic thinking, cross-functional collaboration, and a relentless commitment to excellence.

Imagine yourself as a futuristic lawyer equipped with AI-powered tools and technologies at the beginning of your career. What would you do differently this time, and what advice would you give to aspiring company secretaries joining the profession?

If I were to envision myself as a futuristic lawyer, armed with the power of AI-powered tools and technologies at the start of my career, I would approach my journey with a renewed sense of excitement and strategic vision.

Firstly, I would leverage the capabilities of AI-driven contract management and drafting tools to streamline the arduous process of creating and reviewing legal agreements. Instead of manually poring over countless clauses and terms, I would have access to intelligent systems that could rapidly analyse contract language, identify potential loopholes or risks, and even suggest optimized language based on past successful agreements. This would not only save me immense amounts of time but also enhance the quality and consistency of the contracts I produce.

Additionally, I would integrate AI-powered research and analysis assistants into my daily workflow. These systems would be able to quickly comb through vast troves of legal precedents, industry reports, and regulatory updates, synthesizing the critical insights and delivering them in a concise, easily digestible format. This would allow me to make more informed, data-driven decisions and provide my clients with the most comprehensive and up-to-date counsel.

Moreover, I would leverage AI-driven compliance monitoring tools to stay on top of the ever-evolving regulatory landscape. These systems would constantly track changes in laws and guidelines, flag upcoming deadlines, and generate detailed reports to ensure my organization maintains complete adherence. This would free up valuable time and mental bandwidth, enabling me to focus on the more strategic aspects of my role as a company secretary.

Beyond the technological advancements, I would also approach my career with a heightened emphasis on continuous learning and adaptability. The pace of change in the legal profession is only accelerating, and I would make it a priority to stay ahead of the curve, constantly upskilling and exploring new areas of expertise.

To aspiring lawyers and company secretaries joining the profession, my advice would be to embrace the transformative potential of AI and other emerging technologies. Don’t view them as threats to your role, but rather as powerful enablers that can augment your capabilities and allow you to deliver even greater value to your clients and organization.

At the same time, maintain a strong foundation in the core principles of corporate governance, compliance, and strategic advisory. These timeless skills will remain essential, even as the tools and methodologies evolve. Continuously seek out opportunities to expand your knowledge, whether through formal education, industry networking, or hands-on experience.

Most importantly, cultivate a mindset of adaptability and innovation. The legal landscape of the future will be shaped by those who are willing to challenge the status quo, think creatively, and leverage technology to drive meaningful change. By combining your technical expertise with a forward-looking, entrepreneurial spirit, you can position yourself as an indispensable asset in the ever-evolving world of corporate legal and secretarial practice.

What are the biggest obstacles to the wider adoption of AI in the legal industry, particularly in large organizations? How can we overcome these challenges?

That’s an excellent question and one that I’ve given a lot of thought to. As someone who has witnessed the transformative potential of AI in various industries, including my legal practice, I can certainly appreciate the obstacles that are hindering wider adoption within the legal sector, particularly in large organizations.

One of the primary challenges I see is the inherent conservatism and risk aversion that often permeates the legal profession. Many legal practitioners, especially those in senior leadership positions, may be hesitant to embrace AI-driven technologies due to concerns about the reliability, security, and ethical implications of these tools. There is a natural tendency to stick with established, manual processes that are perceived as more trustworthy.

Additionally, the highly sensitive and confidential nature of the information that legal teams handle can make them reluctant to relinquish control to AI systems. The prospect of handing over critical decision-making to algorithms, even if they are highly sophisticated, can be a significant deterrent for organizations that place the utmost importance on client confidentiality and professional integrity.

Another obstacle is the significant upfront investment required to implement and integrate AI-powered solutions into existing legal workflows. Large enterprises often have deeply entrenched legacy systems and processes, and the cost and disruption associated with overhauling these frameworks can be a major deterrent, especially in the face of uncertainty about the long-term returns on such investments.

Furthermore, the legal industry, by nature, relies heavily on precedents, case law, and nuanced interpretations of statutes and regulations. Translating this complex, contextdependent knowledge into structured data that can be effectively leveraged by AI systems is a significant challenge that requires specialized expertise and substantial time and resources.

However, I firmly believe that these obstacles are not insurmountable and that with the right strategies and a proactive approach, the legal industry can overcome them and reap the substantial benefits that AI-driven technologies can offer.

One key step would be to prioritize education and change management within legal organizations. By actively engaging legal professionals, from junior associates to senior partners, and demonstrating the tangible improvements in efficiency, accuracy, and strategic decision-making that AI can deliver, we can help allay fears and foster a more receptive mindset towards technological innovation.

Simultaneously, legal organizations should invest in developing robust governance frameworks and security protocols to ensure the responsible and ethical deployment of AI systems. Robust data management practices, stringent access controls, and comprehensive auditing capabilities can help build trust in the reliability and integrity of these tools.

Moreover, legal teams should actively collaborate with AI solution providers, technologists, and data scientists to develop tailored, industry-specific applications that seamlessly integrate with existing workflows and address the unique challenges of the legal profession. This level of customization and co-creation can be crucial in overcoming the challenges of legacy systems and data complexity.

Ultimately, I believe that the legal industry’s widespread adoption of AI-powered technologies is not a question of “if” but “when.” As the benefits become more tangible and the risks are effectively mitigated, forward-thinking legal organizations will recognize the strategic imperative to embrace these transformative tools. By proactively addressing the obstacles and championing the responsible integration of AI, legal professionals can position themselves at the forefront of this technological revolution.

By bridging the gap between legal and business imperatives, I aim to position myself as an indispensable asset in the boardroom.

Moreover, I am deeply committed to contributing to the advancement of the legal profession itself. I aspire to be a thought leader and an advocate for the responsible integration of transformative technologies, such as AI and data analytics, into legal workflows. Through active involvement in industry associations, publications, and speaking engagements, I hope to inspire and empower my peers to embrace innovation and continuously elevate the value proposition of the legal function.

Beyond my professional goals, I am also driven by a strong desire to give back to the communities in which I operate. Whether it is through pro bono initiatives, mentorship programs, or charitable endeavours, I am determined to leverage my expertise and influence to drive positive social change and create a more equitable, sustainable future.

Ultimately, my vision for the future of my legal career is one of boundless possibilities. I am excited to continue pushing the boundaries of what is achievable, to challenge the status quo, and to create new pathways for legal professionals to make a tangible difference.
